Work Product

Unless otherwise specified in a written agreement:

• Upon full payment, clients receive ownership of custom work created specifically for them
• We retain rights to pre-existing materials, frameworks, and tools used in development
• We may include completed projects in our portfolio unless otherwise agreed

5. Payment Terms

• Payment terms are specified in individual project agreements
• A deposit is typically required before work begins
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest charges and work suspension
• All fees are non-refundable unless otherwise stated

6. Project Changes and Cancellations

Change requests may affect project timelines and costs. Any changes to the agreed scope must be documented in writing. Cancellation policies are outlined in individual project agreements, and work completed prior to cancellation remains billable.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. This includes business plans, technical specifications, pricing information, and any other information marked as confidential.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not warrant that our services will be uninterrupted, error-free, or completely secure.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

9. Limitation of Liability

To the maximum extent permitted by law, Hostreck shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the fees paid by you for the services giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Hostreck, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate services as specified in individual project agreements. Upon termination, you remain responsible for payment of all work completed and expenses incurred up to the termination date.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Ontario, Canada.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
